Choosing Istanbul for Corporate Expansion

The client identified Turkey as a priority market due to its robust manufacturing sector and its network of free trade agreements. The client required a formal corporate structure that would allow for full foreign ownership while maintaining the flexibility to hire local and international staff and hold commercial property in the future.

The Strategic Advisory Process

Once a lease agreement was finalized, we conducted a thorough review of the property’s commercial status to ensure it met the requirements of the local tax office.

The administrative workflow followed a precise sequence:

  • MERSIS Registration: The company’s details were entered into the Central Registry System (MERSIS) to generate the initial incorporation documents.
  • Tax Identification: A potential tax number was obtained for the company to facilitate the initial capital deposit.
  • Banking Procedures: We guided the client through the process of opening a corporate bank account. This included navigating the rigorous Know Your Customer (KYC) and Anti-Money Laundering (AML) checks required for foreign-owned entities.
  • Chamber of Commerce: The final registration was completed with the Istanbul Chamber of Commerce (ITO), followed by the publication of the company’s establishment in the Trade Registry Gazette.

Finalizing the Setup

The process concluded with the issuance of the Signature Circular (İmza Sirküleri), which officially authorized the company’s directors to act on its behalf. SimplyTR also coordinated with a certified public accountant to ensure the company was immediately compliant with Turkish tax reporting standards and social security requirements for future employees.

By the end of the engagement, the client had a fully operational Turkish entity, an active corporate bank account, and a registered office in one of Istanbul’s primary business districts.
